Client Organization Overview

Our Client company, Components Corporation of America, Inc. (CCA), is a privately held holding corporation with its headquarters in Dallas, TX. The company traces its history back to 1916. CCA has three (3) wholly owned subsidiaries, which manufacture and distribute electronic components. Each subsidiary is organized to function as a stand-alone entity. The subsidiaries manufacture and distribute original equipment and replacement components for a variety of industrial and commercial communication, automation, military, computer, aircraft, industrial and other applications.


The three subsidiaries are as follows: Staco Systems, www.stacosytems.com, located in Irvine, CA, is a leading manufacturer of human-machine interface products designed for mission-critical applications in both the commercial/industrial and military/aerospace markets. Staco Energy Products, www.stacoenergy.com, located in Dayton, Ohio (Miamisburg), is a leading manufacturer of products that control voltage, provide backup power during blackouts, and improve the quality of power.. Para Systems, Inc., www.minutemanups.com, located in Carrolton, TX, is a recognized supplier of high quality power backup products for commercial and consumer markets.

Position Summary

The Chief Financial Officer, directs financial planning, treasury, accounting, real estate, IT, human resources and all risk and insurance activities for the corporation. The CFO is responsible for the establishment of accounting principles, practices and procedures, according to GAAP. The CFO maintains all accounting records and is responsible for the development, analysis, and interpretation of statistical and accounting information to appraise operating results in terms of costs, budgets, policies of operations, trends, and increased profit possibilities.

Responsibilities

  • Oversight of all accounting functions.
  • Develops long range financial strategies in conjunction with the CEO.
  • Manages short and long-term cash requirements.
  • Establishes and maintains effective relationships and communications with company bankers. Assumes primary responsibility for contact with lending institutions and negotiates loan renewals and extensions.
  • Assesses corporate financial position and issues periodic financial and operating reports, including reporting to the Board of Directors. Directs and coordinates the establishment of corporate budget and forecast programs.
  • Oversees the administration of the 401 (k) retirement program.
  • Establishes and maintains relationship with the external audit and tax firm. Oversees all audit, tax and consulting services.
  • Interprets operating results as they affect the financial aspects of the corporation and makes specific recommendations which will result in cost reductions and profit improvement.
  • Manages the Corporate office and its staff.
  • Oversees federal, state and local income tax compliance and planning.
  • Directs the insurance programs for all of the corporate entities.
  • Responsible for all income tax accounting.
  • Oversees the preparation of rolling monthly and quarterly six-month financial forecasts.
  • Plans and administers the annual strategic planning process and meetings with Company’s subsidiaries.
  • Frequent interaction with subsidiary Presidents on financial issues and questions. Serves as sounding board and advisor on subsidiary business issues.
  • Travels quarterly to subsidiaries for business and financial updates.
  • Oversees the preparation of rolling monthly and quarterly six-month financial forecasts.
  • Plans and administers the annual strategic planning process and meetings with Company’s subsidiaries.
  • Frequent interaction with subsidiary Presidents on financial issues and questions. Serves as sounding board and advisor on subsidiary business issues.
  • Travels quarterly to subsidiaries for business and financial updates.
  • Oversees controls over inventory quantities and values, as well as proper analysis of excess or obsolete inventory.
  • Oversees the Company’s HR function. Administers the employee benefit programs, including procurement of employee insurance programs in connection with the broker.
  • Oversees the planning and preparation for quarterly Board of Directors meeting. Actively participates in all meetings.
  • Completes special projects as requested by the Chief Executive Officer or the Board of Directors.
  • Manages corporate program of ethical behavior and conduct.
  • Carries out any other appropriate duties and responsibilities as assigned by the Board of Directors and CEO.
  • Assists with financial due diligence on potential acquisitions.

Qualifications & Desired Experience

  • BS Degree in Accounting, MBA preferred.
  • CPA certification required.
  • Requires a minimum of fifteen (15) years related experience, including a minimum of five (5) years as a VP of Finance or equivalent.
  • Private company CFO experience is preferred.
  • Must possess significant experience in a senior financial role within a manufacturing company and have had experience with manufacturing in a standard cost environment.
  • Capable of multitasking and working across projects and varied departments simultaneously.
  • Very strong technically in accounting.
  • Possess a high level of business acumen.
  • Must be a self-starter and hands-on leader, that can take initiative and drive results.
  • Must have the ability and be comfortable operating in a very lean operation and works well at the strategic Board of Director and tactical levels.
  • Some experience with a Big 3 accounting firm is desired.
  • Ability to develop and maintain positive Banking and Public Accounting firm relationships
